1. RECORDAL
Wizard Online hereby sells the service to the User on the terms and conditions herein contained which terms and conditions the User is deemed to have familiarised himself/herself with and to have irrevocably accepted.
2. INTERPRETATION
2.1 In these terms and conditions: "the User" means the party who has purchased the service and/or any person using the service;
2.2 "the service" means the Internet service described herein provided by Wizard Online to the User in terms of the terms and conditions herein contained;
2.3 "Wizard Online" means Wizard Online cc..
3. PROVISION OF SERVICE
3.1 The User shall solely be responsible, unless otherwise stated in this agreement, for provisioning, configuration and maintenance of all equipment on their premises, including (but not limited thereto) computer hardware equipment, telecommunication equipment, modems and the like, which is or may be necessary for the User to obtain and retain access to the required service(s).
3.2 The User shall be liable for all telephone call charges and other third party costs incidental thereto.
4. AVAILABILITY OF SERVICE
4.1 Wizard Online shall make every effort to make the service available at all times and shall use its utmost endeavours to strive for 100 % (one hundred percent) uptime. Wizard Online is, however, unable to guarantee 100 % (one hundred percent) uptime.
4.2 Wizard Online shall strive at all times to provide Users with prior notice, where possible, of scheduled maintenance so as to avoid Users having to log-off for any period of time.
4.3 Wizard Online shall not be responsible for the performance of external communications networks to which the service is connected, and which networks include the networks of Internet Service Providers other than itself.
4.4 The User accordingly indemnifies Wizard Online against all claims of whatsoever kind and whether foreseeable or unforeseeable, as a result of Interprise being unable to make its service available to the User under the circumstances described in this clause.
4.5 Wizard Online will provide the service strictly subject to the terms and conditions prescribed by the competent regulatory authority.
4.6 Any faulty hardware, (namely modems, servers and routers) must be returned to Wizard Online cc and we will endeavor to repair. Should Wizard Online need to collect or deliver, collection and delivery costs, including courier cost will be invoiced to the client. If unable to repair, Wizard Online cc will forward the equipment to the supplier for an evaluation and quote to repair. Unless the equipment is under warrantee, repair quotes will be invoiced to the client.
5. USER ETIQUETTE
5.1 The User acknowledges and agrees that:
5.1.1 Users are expected to abide by generally accepted Usenet etiquette (Netiquette).
5.2 The User shall not use the service in a manner which:
5.2.1 constitutes a violation of any law, regulation or tariff that may be in force in South Africa or elsewhere;
5.2.2 constitutes and act or omission that is generally unacceptable or offensive to Internet users in general, to the public at large or as same may be determined from time to time by Interprise in its sole discretion, specifically including (but not limited to) the hosting of pornographic material, spamming, hacking and unsolicited mailing;
5.2.3 is defamatory, fraudulent or deceptive;
5.2.4 is intended to threaten, harass or intimidate;
5.2.5 tends to damage the name or reputation of Wizard Online, its holding company, affiliates or subsidiaries; or
5.2.6 interferes with the use and enjoyment of Internet related services of Users of Wizard Online.
5.3 The User undertakes to abide by all laws applicable to copyright, re-distribution or re-sell of any data and/or information retrieved from the service and/or the Internet as specified or implied by Wizard Online or any of the local or foreign service providers or laws governing the provisions of the service and Internet.
6. PAYMENT FOR SERVICE
The User pays to Wizard Online such charges as levied by Interprise from time to time as follows:
6.1 Monthly Subscriptions The charge for a subscription to the Service on a monthly basis is a monthly fee, payable monthly in advance by the User to Wizard Online, including a pro-rata charge for the first months billing. Payment is rendered without deduction, free of exchange or set-off by way of debit order, or in such manner as determined by Wizard Online. This amount is non-refundable.
6.2 Bi-annual Subscriptions The charge for a subscription to the Service on a bi-annual basis is payable in full in advance by the User, on invoice, to Wizard Online. This amount is non-refundable. Bi-annual subscriptions will be renewed automatically unless Wizard Online is notified in writing differently.
6.3 Annual Subscriptions The charge for a subscription to the Service on an annual basis is payable in full in advance by the User, on invoice, to Wizard Online. This amount is non-refundable. Annual subscriptions will be renewed automatically where the User has supplied banking details unless Wizard Online is notified differently.
6.4 Usage fees, where applicable, will be billed in arrears.
6.5 Without prejudice to rights granted to Wizard Online in terms hereof, any amount due by the User to Wizard Online not paid on due date thereof:
6.5.1 shall bear interest at a rate equal to the maximum allowable in terms of the Usury Act, 1968, calculated daily in advance from date payment was due until date of actual payment thereof; and
6.5.2 Wizard Online shall be entitled to take all such steps, without notice to the User, as may be necessary to recover such outstanding amount. The User shall be liable to pay all costs incurred in respect of the recovery of such outstanding amount.
6.6 Wizard Online reserves the right to levy a charge for handling fees at an amount determined by Wizard Online for monies due in the event of a Users payment being returned or rejected by the Users bankers.
6.7 Wizard Online furthermore reserves the right to blacklist with any or all credit bureau agencies within the Republic of South Africa, any such User who fails to comply with the payment agreement for subscription to the Service. In addition, Wizard Online will not be held responsible or be required to assist with the removing or rescinding of any such information which may be recorded by a credit bureau agency.
6.8 Wizard Online reserves the right to amend Service subscription charges at its sole discretion. Wizard Online shall give the User 30 (thirty) days notice of any such amendment and the User shall be bound to such adjustments.
6.9 Wizard Online will bill and debt all Top Ups, Set Up Fees and Pay As You Go Billing on the 15th and the first of each month.
7. SUSPENSION / DISCONNECTION OF SERVICE
Wizard Online may from time to time and without notice, suspend and / or disconnect a User from the Service in any of the following circumstances:
7.1 During any technical failure, modification or maintenance of the Service, provided that Wizard Online will use its reasonable endeavours to resume the Service as soon as possible;
7.2 Should the User fail to comply with any of the Terms and Conditions of this agreement, including failure to pay any charges due, until the breach, if capable of remedy, is remedied, or does, or allows to be done, anything which in Wizard Online's opinion may have negatively affected the operation of the Service.
7.3 If the User fails to make the required payment of such monies due to Wizard Online for subscription to the Service, and or in the event of a User being in arrears on either monthly, bi-annual or annual payments, with no attempt from the User to resolve such arrears.
7.4 Wizard Online reserves the right to levy a re-connection charge, an amount determined and calculated at the discretion of Wizard Online, payable by the User on invoice, for any request to be re-connected to the Service, and irrespective of how the Service was suspended or disconnected.
7.5 Notwithstanding any suspension of the Service in terms hereof, the User shall remain liable for all charges due throughout the period of suspension unless Wizard Online in its sole discretion determines otherwise in writing.
7.6 Reactivation of suspended services will only be done once all payments have been received. Turnaround time for reactivation of suspended services is 48 hours.
8. TERMINATION OF SERVICE
Under normal circumstances, written notice on or before the 25th of every month from either party for any reason whatsoever is required to terminate an existing Service. Any cancellation received after the 25th of a month will result in a final debit for the following month.
8.1 CANCELLATION PROCEDURE TO FOLLOW:
Should you wish to cancel any service that you have with Wizard Online this must be done in writing and may be cancelled by fax or e-mail.
To cancel by fax, you must fax through the cancellation notice to the fax number 086 622-2646, and you must also obtain a proof of sending of this fax from the machine that it was sent from, and this proof of the successful sending of the fax must be retained by you, so that in the event of a query you have the proof.
If you want to cancel by e-mail, then an email can be sent through to the correct e-mail address which is brad@wizardonline.co.za An automated response to the sender's email will confirm receipt of the cancellation. We advise you to retain this response in your e-mails ( DO NOT DELETE IT) as proof of the cancellation request in the event there is a query. Should you not receive confirmation of receipt of your e-mail, then you are very welcome to query this with us and resend until you do get one.
You are also welcome to back up your action by sending a fax if you so wish, following the procedure outlined above.
9. REGULATORY COMPLIANCE
The User undertakes to comply with all regulatory obligations that may now or in the future be imposed by the body under whose authority the service falls. The User furthermore acknowledges that the imposition of regulatory obligations by such body may necessitate amendments to be effected to these terms and conditions and hereby consents to Interprise effecting such amendments without prior notice.
10. INDEMNITY
The User hereby indemnifies and holds Wizard Online, its employees, agents, dealers and/or distributors harmless against any and all losses, injury, damage, penalties and/or claims of whatsoever nature and howsoever arising from or in connection with the service.
11. JURISDICTION
The User hereby irrevocably consents to the jurisdiction of the Magistrates? Court in terms of Section 28 of the Magistrates? Courts Act of 1944, provided that Interprise shall, should it so elect, be entitled to institute proceedings in the High Court of South Africa.
12. CESSION AND DELEGATION
Wizard Online shall be entitled to cede and transfer or delegate to any third party, at its absolute discretion, all or any of its rights and obligations under these terms and conditions.
13. GENERAL
13.1 The User acknowledges and agrees that these terms and conditions govern the Users use of the service and that there are no other agreements, guarantees or representations, either verbal or in writing, in regard thereto.
13.2 The User shall not, without the express written permission of Interprise, resell or make available to any third party such services as they might receive from Interprise.
13.3 These terms and conditions may change from time to time. The User may view such terms and conditions at http://www. wizardonline.co.za and unless otherwise notified, Wizard Online shall deem that the User has acknowledged and agreed thereto within 14 (fourteen) days of such changes being effected.
14. AMENDMENT OF THIS AGREEMENT
Wizard Online reserves the right to amend this agreement from time to time without notice to you. Any new version of the agreement will be displayed on our web site together with the date on which it will become effective, which will never be less than 30 days after the date on which it is first displayed. It is your obligation to visit our web site on a regular basis in order to ascertain whether any amendments have been made.
Wireless Terms & Conditions (i-Burst)
1. INTERPRETATION
1.1 Unless the context clearly indicates the contrary, any term defined in the Subscriber Terms when used herein, shall bear the same meaning as defined in the Subscriber Terms.
1.2 To the extent that there is any contradiction between the Subscriber Terms and these Terms the following order of precedence shall apply: (i) these Terms; and (ii) the Subscriber Terms.
1.3 Unless the context clearly indicates to the contrary, the following words bear the meanings ascribed thereto-
1.3.1 "Application Form" means the application form completed and signed by you for the initiation of the Service, as same may be amended by Wizard Online;
1.3.2 "Device" means depending on your choices as set out in the Application Form (under Step 1) the iBurst equipment which will be sold to you as envisaged in these Terms;
1.3.3 "Electronic Communications Act" means the Electronic Communications Act no 36 of 2005, as amended;
1.3.4 "Network" means the: (i) portion of the radio frequency spectrum that has been assigned to the Network Operator for the purposes of wireless network coverage as envisaged in the Electronic Communications Act; and (ii) wireless platform, owned and managed by the Network Operator;
1.3.5 "Network Coverage" means the geographical area within which the Service can be accessed and used by you;
1.3.6 "Network Operator" means iBurst (Pty) Ltd;
1.3.7 "Service" means the Wizard Online Wireless Broadband - iBurst service provided to you as selected by you on the Application Form;
1.3.8 "Subscriber Terms" means the subscriber terms and conditions of use
1.3.9 "Wireless Broadband Account" means the wireless broadband account that your Service and Wizard Online value added services are enabled on as a connection to the Network via the Device;
2. DURATION
2.1 The Service shall commence with effect from the date of activation of the Service by Wizard Online and endure for the initial period selected by you in the Application Form (hereinafter referred to as the "Initial Period").
2.2 Either party may terminate the Service at the end of the Initial Period by giving 1 (one) calendar month notice in writing. Any notice of termination given by you during the Initial Period shall only become effective upon the expiry of the Initial Period.
2.3 If neither party has given notice as contemplated in clause 2.2 above, the Service shall endure indefinitely thereafter on the same terms and conditions, provided that either party shall be entitled to terminate the Service by giving 1 (one) calendar month in writing.
2.4 In the event of a termination, your use of the Service shall terminate. However, in the event that you use the Service following a termination, these terms and conditions will apply and you shall be liable to pay the full usage costs to Wizard Online. This shall in no way constitute a revival of the agreement between the parties and Wizard Online shall be entitled to terminate the Service without notice to you.
2.5 To the extent that the Service is suspended by Wizard Online due to your default, you acknowledge that you will forfeit your access to and/or use of the Service, but you shall still be liable to pay the service fees during such suspension.
3. SERVICE FEES A
3.1 You shall pay Wizard Online the services fees specified in the Application Form monthly in arrears.
3.2 Any service fees payable for the Booster referred to below shall be billed in arrears.
4. UNDERTAKINGS AND ACKNOWLEDGEMENTS A
4.1 Wizard Online undertakes to use its reasonable endeavours to procure that the Network Operator provides you with the Service on a 24 (twenty four) hour per day basis on each and every day for the continued duration of the agreement.
4.2 AlthoughWizard Online uses reasonable care and diligence to ensure that the Service is available, accurate, complete, correct, error-free, secure, up-to-date and/or reliable, Wizard Online does not warrant represent or in any way guarantee either expressly or by implication that the Service will be available, accurate, complete, correct, error-free, secure, up-to- date and/or reliable. Wizard Online furthermore does not warrant, represent or in any way guarantee, either expressly or by implication the merchantability or fitness for a particular purpose. You therefore agree that the Service is rendered "as is" and "as available" and is used at the your own discretion and risk.
4.3 You acknowledge that: (a) the following circumstances and events may impact upon your use of the Service and/or the quality and coverage availability of the Service; and (b) that these circumstances and/or events are beyond Wizard Online's control: (i) use of the Service by other customers; (ii) the Internet; (iii) the Network; (iv) the Network Coverage; (v) limitations upon national and/or international bandwidth capacity; (vi) telecommunication service operator failures, which includes telecommunication links and line failures; (vii) mobile telecommunication service operator failures; (viii) mobile network failures; (ix) wireless network failures; (x) operating systems; (xi) access technology failures; (xii) quality of service of telecommunication links or lines and/or; (xiii) quality wireless telecommunications links, quality of the Network and Network Coverage; (xiv) physical features such as buildings and underpass; (xv) atmospheric conditions including without limitation bad weather conditions and other causes of interference; and (xvi) any action, omission and/or failure by you and/or your systems, software, network and/or equipment which has an impact on the Service; and (xvii) any other action, omission and/or failure not within Wizard Online's control which has an impact on the Service.
4.4 You further acknowledge that: (i) Wizard Online does not warrant, represent nor in any way guarantee the quality and availability of the Network Coverage for the Service; (ii) the quality and availability of the Network Coverage for the Service shall be limited to that provided by the Network.
5. TERMS AND CONDITIONS SPECIFIC TO THE SERVICE A
5.1 Wizard Online shall as part of the Service provide you with Internet connectivity limited to the Internet traffic specified in the Application Form together with any value added services provided by Wizard Online in its discretion from time to time.
5.2 You acknowledge that:
5.2.1 a Device is required to access and use the Service;
5.2.2 the Service shall be provided subject to the Network Operator's use policies which are accessible at http://www.iburst.co.za
5.2.3Wizard Online will not carry over any unused product cap to the following month. Accordingly, you are advised to use the allocated Internet traffic in a month.
5.3 Without limiting the Subscriber Terms and/or iBurst acceptable use policies, you:
5.3.1 agree not to use the Service for any unlawful, abusive or any other purpose including, without limitation, using the Service in any manner that (i) interferes with Wizard Online's and/or the Network Operator's ability to provide the Service or any other service to its customers; (ii) interferes with the quality and/or availability of the Network and/or (iii) infringes upon any applicable legislation and/or regulation including without limitation the Electronic Communications Act;
5.3.2 agree not use the Service to infringe the intellectual property rights or other proprietary rights of Wizard Online and/or any other person or to post or transmit anything which contains viruses or any other destructive features, regardless of whether or not damage is intended.
5.3.3 You may downgrade the Service subject to payment of a penalty determined by Wizard Online from time too time.
5.3.4 If you have selected I-Go Lite you may only upgrade after you have been a subscriber for the Service for at least 3 (three) months.
5.4.3.3 ensure that the usage of such Device is in accordance with the supplier instructions and will not contravene and/or void the supplier's warranty or guarantee. In the event that your usage contravenes and/or voids the supplier's warranty which then results in the unavailability of the Service and/or any component thereof, Wizard Online shall (without limiting the generality of the Subscriber Terms) not be held responsible for any direct and/or indirect loss, damage or any costs suffered by you as a result thereof including the unavailability of the Service.
5.4.3.4 Upon becoming the owner of the Device, you shall be fully responsible for the Device and you shall not have any claim of whatever nature for the breakdown and/ or failure of the Device in any manner whatsoever against Wizard Online. 5.5 Booster
5.5.1 i-Go Lite and i-Go Packages
5.5.1.1 You acknowledge that in order to avoid an interruption of the Service, you are advised to top up your product cap limit by purchasing Booster from Wizard Online. You acknowledge that the purchase of Booster must be done prior to reaching your allocated cap, failing which the Service will automatically be suspended until the end of the month.
5.5.2 G1; G3; G6 and G9 Packages
5.5.2.1 Should you exceed your product cap,Wizard Online shall throttle your Service until you purchase further product cap and you acknowledge that the Service will be degraded until you have bought Booster or until the next month.
5.5.3 Booster shall commence once you reach your product cap. If you do not use the entire Booster in the month it was purchased it shall continue until the last day of the following calendar month after which the Booster will automatically terminate irrespective of whether you have utilised it fully or not. It is specifically agreed that should you not have used the Booster fully you shall not be entitled to any credit and/or refund for the unutilised portion in any manner whatsoever.
5.5.4 Wizard Online may in its discretion limit the amount of Boosters you may be able to purchase during a calendar month, provided that it shall act reasonably.
5.6 Dashboard
5.6.1 Included as part of the Service is the dashboard which is a tool providing you with the ability to: (i) connect to the Internet; (ii) monitor your Internet traffic usage; and (iii) access other services (hereinafter referred to as the "Dashboard").
5.6.2 You acknowledge and agree that Wizard Online does not (i) maintain and/or manage the Dashboard; and (ii) ensure that the usage report produced by the Dashboard is up-to-date, current, and/or correct;
5.6.3 The Network Operator's monitoring equipment shall be used to monitor and measure your Internet traffic usage and shall be the sole source to determine usage and/or whether you have exceeded your product cap.
5.7 Dial up Access
5.7.1 You agree that if you have elected dial up access on the Application Form then the fee for dial up access will be payable irrespective of whether you actually use this service or not.
6. VALUE ADDED SERVICES
The terms and conditions applicable to any value added services may be accessed
7. TERMINATION OF NETWORK OPERATOR AGREEMENT
You agree that if the agreement betweenWizard Online and the Network Operator terminates then Wizard Online may, at its discretion: (i) terminate the provision of the Service without liability to you; (ii) transfer the provision of the service to a third party service provider; or (iii) assign this agreement to the Network Operator.
